End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and CalView ("Licensor") for the use of CalView software ("Software"). By installing or using the Software, you agree to be bound by this EULA.

2. Grant of License

Subject to the terms of this EULA and payment of applicable fees, Licensor grants User a limited, non-exclusive, non-transferable license to install and use the Software in User's Salesforce organization(s) as specified in the applicable subscription plan.

3. License Restrictions

User shall NOT:

  • Copy, modify, or distribute the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices
  • Sublicense, rent, or lease the Software
  • Use the Software for any unlawful purpose
  • Share license keys with unauthorized users or organizations
  • Attempt to bypass license validation mechanisms

4. License Key

Each license key is valid for a single Salesforce organization. The license key must be entered in the Software's settings to activate full functionality. License keys are non-transferable between organizations.

5. Subscription

The Software is licensed on a subscription basis. Subscriptions automatically renew unless cancelled before the renewal date. Licensor reserves the right to modify pricing with 30 days notice.

6. Updates

Licensor may provide updates to the Software during the subscription term. User agrees to install updates in a timely manner. Major version upgrades may require additional fees.

7. Intellectual Property

The Software and all copies thereof are proprietary to Licensor and title thereto remains exclusively in Licensor. All applicable rights to patents, copyrights, trademarks and trade secrets in the Software are and shall remain in Licensor.

8. Data

The Software operates within User's Salesforce environment. Licensor does not access, store, or process User's Salesforce data. User is responsible for the accuracy and legality of data displayed in the Software.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY USER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

This license is effective until terminated. User may terminate by uninstalling the Software and discontinuing use. Licensor may terminate if User breaches any term of this EULA. Upon termination, User must uninstall the Software from all Salesforce organizations.

12. Export Compliance

User agrees to comply with all applicable export laws and regulations.

13. Governing Law

This EULA shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

14. Entire Agreement

This EULA constitutes the entire agreement between User and Licensor regarding the Software and supersedes all prior agreements.
